Firm Overview

Expertly advising, growing, and protecting businesses

Established in 1996, Friedman, Rosenwasser & Goldbaum, P.A. (“FRG”) is a “boutique” business law firm based in Florida. We devote a large part of our practice to representing franchise companies in their national and international expansion. We know business.

Since its founding, Martindale-Hubbell, a nationally renowned peer-reviewed business directory, as awarded FRG its highest legal rating for skills and ethics.

As part of our franchise, corporate and trademark law practices, we advise and represent businesses and entrepreneurs in all phases of their business existence, including entity selection, financing, contract drafting and negotiation, business expansion (including licensing, franchising, and other growth strategies), mergers and acquisitions, partnerships and strategic alliances. We prepare franchise disclosure documents and register them where necessary. We also represent franchisees, developers, and multi-unit operators in connection with their investments. We form corporations and limited liability companies, and prepare subscription agreements, shareholder agreements, operating agreements, and similar documents. We also renew and negotiate leases, license agreements, and similar business agreements.

Our litigation department supports our franchise practice in dispute resolution, including mediation, arbitration, and litigation of franchise disputes. Our corporate and trademark departments support our franchise clients and other business clients in various business law and trademark law matters. We represent a broad range of clients, both large and small, across numerous industries.

One of our goals is to help our clients avoid litigation. However, when there is no other alternative, our dispute resolution department is there to represent our clients in adversary proceedings, including mediation, arbitration and litigation.

Finally, to serve a continuing need, particularly in South Florida, we represent individuals in defending mortgage foreclosures.
